Terms of Service

These Terms govern your use of Stalex, operated by Stalex LLC ("Stalex," "we," "us") — a subscription service for exclusive, scored business sales-leads delivered into your private pipeline. By creating an account or using the service you agree to these Terms.

1. Your account

Provide accurate information (including a valid business EIN where requested) and keep your login secure. You're responsible for activity under your account. Workspace owners may invite teammates; the owner is responsible for their team's use.

2. The service

Stalex delivers exclusive business leads into your private workspace, with a pipeline and team tools. Leads are business-entity records (not consumer personal data) and are provided as-is; while we score and curate, we don't guarantee the accuracy, completeness, or outcome of any lead.

Stalex is a data and workflow service, not a calling service. Stalex places no calls and provides no auto-dialer, predictive dialer, or other telephony — any outreach you make is one-on-one and initiated by you, using your own equipment. You are responsible for that outreach and for the rules in Section 3.

3. Acceptable use

• Use leads for legitimate business-to-business outreach only.
• Do not use Stalex to contact or solicit individual consumers, or in any way that violates applicable law (including telemarketing, anti-spam, and do-not-call rules — e.g. TCPA, CAN-SPAM).
• Do not resell, redistribute, or relicense the lead data, or share your workspace access outside your team.
• Don't scrape, reverse-engineer, overload, or attempt to bypass the service's controls or another customer's room.
• You are responsible for honoring opt-out and do-not-contact requests from anyone you reach.

4. Subscription, billing & the free trial

• Free trial: new workspaces may receive a limited number of free leads for a limited period. When the trial ends, continued lead access requires a paid subscription; your trial leads and pipeline are preserved.
• Paid subscription: paid access is governed by a Lead Subscription Agreement you sign before your workspace is activated. It begins with a fixed-term commitment (for example, 6 or 12 months), billed monthly in advance at a rate made up of a monthly platform fee plus your monthly lead allotment priced per lead — every figure is shown and locked before you sign. Your monthly allotment does not roll over between months.
• Term & renewal: the subscription runs for the term you sign, and at the end of that term it continues month to month at the same monthly price until you cancel. Once the initial term is complete you can cancel at any time — cancellation takes effect at the end of the month you have already paid for, your leads keep arriving until that date, and no early-exit fee applies. During the initial term it is a fixed-term commitment: ending it early (other than for our uncured material breach) makes the fees for the remaining months of that term immediately due as an early-exit fee, as set out in your Agreement.
• Overage: on an active subscription, leads you pull beyond your monthly allotment are charged per additional lead at the overage rate set out in your Agreement. You control it — you're only charged when you choose to pull beyond what's included, the exact total is shown before it's final, and you pay only for leads actually delivered. (Overage isn't available while an account is past due.)
• Payments are processed by Stripe. Fees are non-refundable except as expressly stated in your Agreement; refunds are otherwise handled case-by-case — contact us if a charge looks wrong.
• Prices may change with notice; a change does not affect the term you have already signed.

If anything in this summary conflicts with your signed Lead Subscription Agreement, the Agreement controls.

5. Exclusivity

While your subscription is active, a lead delivered to your workspace is not delivered to a directly competing workspace, per the service's exclusivity rules. Exclusivity depends on your continued active subscription. If your subscription ends — you cancel, it lapses for non-payment, or the term ends without a new order — the exclusivity protection on the leads delivered to you also ends: those leads may return to Stalex's general pool and be delivered to other customers, including competitors. Exclusivity applies only within Stalex and does not restrict what a business may do with its own public information.

6. Termination

You may stop using Stalex and close your account at any time. We may suspend or terminate access for a breach of these Terms (for example, misuse of lead data or unlawful outreach). On termination, your right to use the service ends.

7. Disclaimers & limitation of liability

The service and lead data are provided "as is," without warranties of any kind. To the maximum extent permitted by law, Stalex is not liable for indirect or consequential damages, and our total liability for any claim is limited to the amounts you paid us in the three months before the claim.

8. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules.
